We work closely with our clients in the areas of compensation planning, tax issues related to the sale and acquisition of a business, including mergers, asset acquisitions and stock purchases. In addition, we advise our clients in connection with tax controversies before the Internal Revenue Service.
Several of our attorneys have extensive experience in the areas of mergers and acquisitions. We provide counsel to both sellers and purchasers in all aspects of the transaction. Our representation includes the planning of the structure of the transaction in a way to maximize our client’s benefits and minimize risk, the negotiation of the terms, and the implementation of the transaction.
BCB’s transactional experience also extends to advising clients on various securities law issues under the Securities Act of 1933, the Securities Exchange Act of 1934 and other federal and state securities laws and regulations. We have prepared private placement offerings for the raising of capital for clients and are familiar with all aspects of the exemptions from registration for such offerings. We have also represented broker-dealers and investment advisors on a range of regulatory issues.
